Terms and Conditions for Veterinary Practices
1. INTRODUCTION AND ACCEPTANCE OF TERMS
1.1 These Terms and Conditions («Terms») govern the use of the Ronda Vet Locums Ltd platform («Platform») by veterinary Practices («Practices») seeking to hire veterinary professionals, hereafter referred to as «Locums,» for short-term engagements.
1.2 By accessing or using the Platform, you confirm that you have the authority to enter into this agreement on behalf of the Practice you represent («you» or «Practice»). The Practice agrees that by accessing or using the Platform, you and your Practice are entering into a legally binding agreement with Ronda Vet Locums Ltd, a company registered in England and Wales («Company», «we», «us», or «our»).
1.3 If the Practice does not agree with these Terms, the Practice must not access or use the Platform.
2. DEFINITIONS AND INTERPRETATION
2.1 «Content» means text, graphics, images, music, software, audio, video, information or other materials.
2.2 «Engagement» refers to any short-term work arrangement facilitated through the Platform.
2.3 «User» means any Practice, locum, or other person who uses the Platform.
2.4 «Confidential Information» means all information related to Ronda Vet Locums Ltd, the Platform, or other Users which is designated as confidential or which should reasonably be understood to be confidential.
2.5 «Placement» means one or more shifts confirmed between a Practice and a Locum following a match on the Platform.
2.6 «Platform Fee» means the fee charged by Ronda Vet Locums to the Practice equal to 5.99% of the Shift Rate (excluding VAT) for each shift booked through the Platform. This fee is separate from, and in addition to, any payments made by the Practice directly to the Locum for their services.
2.7 «Shift Rate» means the amount payable to the Locum for a shift, calculated as the agreed hourly/day rate multiplied by the agreed hours/duration for that shift, excluding VAT (and excluding any VAT charged by the Locum). For the avoidance of doubt, mileage, accommodation and any other expenses agreed directly between the Practice and the Locum are not included in the Shift Rate and are not subject to the Platform Fee.
2.8 «Reliability Rate» means the score assigned by Ronda Vet Locums Ltd to a Practice or Locum reflecting their historical reliability and conduct on the Platform, calculated in accordance with clause 9.2.9 Interpretation: Any reference to a statute or statutory provision includes a reference to that statute or statutory provision as amended, extended, or re-enacted from time to time.
3. REGISTRATION AND ACCOUNT SECURITY
3.1 To access the Platform, the Practice must create an account. The Practice agrees to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 The Practice is responsible for safeguarding the password used to access the Platform and for any activities or actions under their password. The Practice agrees not to disclose their password to any third party and to immediately notify Ronda Vet Locums Ltd of any unauthorised use of their password or any other breach of security.
3.3 Ronda Vet Locums Ltd reserves the right to refuse registration of, or cancel, accounts it deems inappropriate.
3.4 Recruiters or recruitment agencies are strictly prohibited from using the Platform.
4. PRACTICE OBLIGATIONS AND CONDUCT
4.1 The Practice agrees to use the Platform in compliance with all applicable laws, regulations, and these Terms.
4.2 The Practice shall:
a) Maintain all necessary licenses, certifications, and insurances required to operate a veterinary Practice in the UK.
b) Ensure that all information provided to the Platform is accurate, complete, and up-to-date.
c) Treat all Locums with respect and professionalism.
d) Provide a safe and compliant working environment for all Locums engaged through the Platform.
e) Comply with all applicable employment laws and regulations, including but not limited to those relating to working hours, health and safety, and non-discrimination.
f) Pay all fees due to Ronda Vet Locums Ltd in a timely manner.
g) Practices shall be responsible for ensuring timely payment to Locums. In cases of non-payment, Ronda Vet Locums Ltd reserves the right to block Practice accounts.
h) Not circumvent the Platform by engaging any Locum directly following a successful match made through the Platform, for a period of twelve (12) months from the most recent date on which that Locum performed a shift for the Practice that was booked via the Platform. For the avoidance of doubt, where a Locum continues to perform shifts for the Practice via the Platform, the twelve (12) month period restarts after each such shift. This obligation applies to the Practice and to any member of its group, being any entity that controls, is controlled by, or is under common control with the Practice (a “Group Company”). The Practice shall not, and shall procure that each Group Company shall not, solicit, induce, or encourage any Locum to accept (or continue) direct engagement outside the Platform, nor facilitate any arrangement intended to avoid use of the Platform. Ronda Vet Locums Ltd may request records or supporting documentation to verify compliance with this clause.
i) Maintain a Reliability Rate consistent with the minimum standards set out in clause 9, and take prompt steps to minimise cancellations so as to avoid negatively affecting their Reliability Rate.
j) Be solely responsible for assessing and determining the employment status of each Locum engaged through the Platform for the purposes of the off-payroll working rules (commonly known as «IR35»), as set out in Chapter 10 of Part 2 of the Income Tax (Earnings and Pensions) Act 2003 (as amended). Where applicable, the Practice is responsible for issuing a Status Determination Statement («SDS») to the Locum and maintaining records of such determinations in accordance with applicable legislation. Ronda Vet Locums Ltd does not provide tax, employment status, or IR35 advice, and the Practice should seek independent professional advice if required.
4.3 The Practice shall not:
a) Use the Platform for any unlawful purpose or in violation of these Terms.
b) Post false, inaccurate, misleading, defamatory, or libellous content.
c) Harass, abuse, or harm another person or entity.
d) Interfere with or disrupt the Platform or servers or networks connected to the Platform.
e) Attempt to gain unauthorised access to the Platform, other users’ accounts, or computer systems or networks connected to the Platform.
5. POSTING ENGAGEMENTS AND HIRING PROCESS
5.1 The Practice is responsible for posting engagements on the Platform, specifying the required qualifications, duration, location, and other relevant details.
5.2 The Practice must ensure that all posted engagements comply with UK employment laws and regulations and are solely responsible for the content of such postings.
5.3 Upon receiving applications from Locums, the Practice is responsible for reviewing each Locum’s skills, qualifications, reviews and Reliability Rate, though names and personal details shall remain confidential until a match is confirmed.
5.4 It is the Practice’s responsibility to evaluate candidates, and make all final hiring decisions based on their assessment criteria.
5.5 Upon confirmation of a match, the Practice will have access to the Locum’s name and contact details.
5.6 The Practice agrees to respond to applications and inquiries from Locums promptly and professionally to ensure efficient communication.
5.7 All communications and negotiations regarding the terms of the placement, including rates, schedules, and other relevant details, shall be conducted directly between the Practice and the Locum through the Platform. The Platform facilitates this interaction but does not participate in or guarantee the outcome of such negotiations.
5.8 Ronda Vet Locums Ltd will conduct identity verification, right to work checks, and confirm that each Locum is registered with the Royal College of Veterinary Surgeons (RCVS) prior to being available for placements through the Platform.
6. FEES AND PAYMENT
6.1 The Practice agrees to pay Platform Fee of 5.99% calculated on the Shift Rate (excluding VAT) for each shift booked and confirmed via the Platform, and for any rebookings or further engagements with Locums introduced via the Platform that fall within the non-circumvention period set out in clause 4.2(h). An invoice will be issued on the first (1st) day of each calendar month, covering all shifts booked and confirmed in the previous month.
6.2 Payment is due within fourteen (14) days from the invoice date. The Practice must ensure that payments are made on time to maintain access to the Platform and avoid any potential account restrictions or service interruptions. The Practice agrees to adhere to the Payment Policy and Account Restrictions terms available at [Ronda Vet Locums Ltd Payment Policy URL].
6.3 The Practice acknowledges that all fees are non-refundable if the Locum has completed the shift or shifts, even if the Practice deems their performance unsatisfactory.
6.4 The Practice is responsible for paying Locums directly for their services, unless otherwise explicitly agreed in writing with Ronda Vet Locums Ltd.
6.5 Ronda Vet Locums Ltd reserves the right to change its fee structure at any time, and any changes will be communicated to Practices with reasonable notice.
6.5 If a Locum introduced through the Platform is subsequently offered and accepts a permanent or fixed-term employment contract with the Practice, the Practice agrees to pay a one-time conversion fee equivalent to 10% of the Locum’s gross annual salary. The Practice is responsible for notifying Ronda Vet Locums Ltd of any such conversion within 7 days of the offer being accepted. Failure to report this may result in retrospective invoicing and suspension of access to the Platform. Ronda Vet Locums Ltd reserves the right to take legal action to recover the applicable fee.
6.7 The Platform Provider has the right to charge the Practice interest on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6.8 The Practice shall keep accurate records of all shifts performed by Locums introduced via the Platform, including dates worked and amounts paid or payable. Ronda Vet Locums Ltd reserves the right, on reasonable notice, to request supporting documentation to reconcile bookings and fees, including statements of account, or other accounting records relating to Locums introduced via the Platform for a specified period. The Practice agrees to provide such information promptly and in any event within seven (7) days of request (or such other timeframe as Ronda Vet Locums Ltd may reasonably specify). Failure to provide requested information may result in account restrictions or suspension in accordance with these Terms.
7. CANCELLATIONS AND DISPUTES
7.1 The Practice must provide reasonable notice for the cancellation of engagements. The Practice acknowledges that cancellations may negatively affect their Reliability Rate in accordance with clause 9, with greater impact applied to cancellations made at short notice.
7.2 In the event of a dispute between a Practice and a Locum, the Practice agrees to first attempt to resolve the issue directly with the Locum.
7.3 If the dispute cannot be resolved directly, the Practice may request mediation through Ronda Vet Locums Ltd; however, Ronda Vet Locums Ltd is not obligated to mediate or resolve any disputes.
8. REVIEWS AND FEEDBACK
8.1 The Practice has 14 days period following the completion of an engagement to write a review about the Locum.
8.2 Reviews will become visible at the earlier of: (a) when both the Practice and Locum have submitted their reviews, or (b) after 6 weeks have passed since the engagement’s completion.
8.3 The Practice agrees to provide honest, fair, and constructive feedback. Defamatory, abusive, or otherwise inappropriate reviews may be removed by Ronda Vet Locums Ltd at its sole discretion.
8.4 The Practice grants Ronda Vet Locums Ltd a perpetual, non-exclusive, royalty-free license to use, reproduce, and display reviews written by the Practice on the Platform for any business purpose.
8.5 The purpose of this two-way review system is to promote transparency, enhance service quality, and facilitate fairer negotiations between Locums and Practices.
9. RELIABILITY RATE
9.1 Ronda Vet Locums Ltd operates a Reliability Rate system for both Practices and Locums. The Reliability Rate is a score reflecting a user’s historical reliability and conduct on the Platform. Its purpose is to promote accountability, support informed decision-making by all users, and maintain the overall quality and integrity of the Platform.
9.2 A Practice’s Reliability Rate is calculated by Ronda Vet Locums Ltd solely on the basis of the Practice’s cancellation history, reflecting the frequency and timing of shift cancellations, with greater weight given to last-minute or repeated cancellations.
9.3 Locums are assigned a Reliability Rate calculated solely on the basis of their cancellation history, reflecting the frequency and timing of shift cancellations. The Practice may view a Locum’s Reliability Rate prior to confirming a placement.
9.4 Each Practice’s Reliability Rate will be visible to Locums browsing or considering engagements on the Platform. Ronda Vet Locums Ltd may also display aggregate or summary reliability information to other Platform users at its discretion.
9.5 Where a Practice’s Reliability Rate falls below thresholds determined by Ronda Vet Locums Ltd from time to time, the following consequences may apply:
a) Reduced visibility of the Practice’s posted engagements to Locums on the Platform;
b) Restrictions on the Practice’s ability to book new shifts or access certain Platform features; and/or
c) Suspension or termination of the Practice’s account in accordance with clause 13.
9.6 Where a Practice’s Reliability Rate falls below the applicable minimum threshold, Ronda Vet Locums Ltd will endeavour to notify the Practice and provide a reasonable opportunity to address the contributing factors before imposing account restrictions, except where the underlying conduct constitutes a material breach of these Terms.
9.7 A Practice that believes its Reliability Rate has been incorrectly calculated, or that specific incidents have been unfairly reflected, may contact Ronda Vet Locums Ltd at contact@ronda.vet to request a review. Ronda Vet Locums Ltd will consider such requests in good faith but does not guarantee any particular outcome. The decision of Ronda Vet Locums Ltd following a review shall be final.
9.8 Ronda Vet Locums Ltd reserves the right to update the methodology, weighting, and thresholds used to calculate Reliability Rates at any time. Material changes to the methodology will be communicated to Practices in accordance with clause 13.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Ronda Vet Locums Ltd, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
10.2 Practices are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for the purpose of finding and engaging Locums.
11. DISCLAIMERS AND LIMITATION OF LIABILITY
11.1 The Platform Provider acknowledges that whilst every effort is made to vet Locums, the Practice must carry out its own independent checks and due diligence on the Locums.
11.2 The Practice agrees to hold harmless and shall have no right of action against the Platform Provider for any acts or omissions of the Locums.
11.3 The Platform is provided on an “as is” and “as available” basis. Ronda Vet Locums Ltd makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or products included on the Platform.
11.4 Ronda Vet Locums Ltd does not warrant that the Platform will be uninterrupted or error-free, and Ronda Vet Locums Ltd will not be liable for any interruptions or errors.
11.5 Ronda Vet Locums Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
a) Your access to or use of or inability to access or use the Platform;
b) Any conduct or content of any third party on the Platform;
c) Any content obtained from the Platform; and
d) Any other matters relating to your use of the Platform.
11.6 Nothing in these Terms limits or excludes Ronda Vet Locums Ltd’s liability for death or personal injury resulting from its negligence, or for any liability that cannot be excluded or limited by law.
11.7 Ronda Vet Locums Ltd accepts no responsibility for, and shall not be liable in connection with, any determination of employment or IR35 status of any Locum engaged through the Platform. The Practice is solely responsible for ensuring compliance with all applicable off-payroll working rules and any associated tax or reporting obligations arising from engagements made through the Platform. Ronda Vet Locums Ltd shall have no liability to the Practice or to any Locum in respect of any tax, penalty, interest, or other sum arising from any failure by the Practice to comply with its IR35 obligations.
12. INDEMNIFICATION
12.1 Practices agree to indemnify, defend, and hold harmless Ronda Vet Locums Ltd, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from:
a) Your violation of these Terms;
b) Your use of the Platform;
c) Your violation of any rights of any other person or entity;
d) Any disputes or issues between you and any Locum;
e) Practices’ failure to comply with applicable laws and regulations.
13. MODIFICATIONS TO THE PLATFORM AND TERMS
13.1 Ronda Vet Locums Ltd reserves the right to modify or discontinue, temporarily or permanently, the Platform (or any part thereof) with or without notice.
13.2 Ronda Vet Locums Ltd reserves the right to modify these Terms at any time. We will notify Practices of any material changes by posting the new Terms on the Platform or by sending you an email.
13.3 Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
14. TERMINATION
14.1 Ronda Vet Locums Ltd reserves the right to terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
14.2 Upon termination, your right to use the Platform will immediately cease.
14.3 All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14.4 Any breach of the non-circumvention obligations set out in clause 4.2(h) shall constitute a material breach entitling Ronda Vet Locums Ltd to terminate the Practice’s access to the Platform immediately.
15. CONFIDENTIAL INFORMATION
15.1 Practices acknowledge that during the course of using the Platform, they may have access to Confidential Information.
15.2 The Practice agrees to keep all Confidential Information confidential and not disclose it to any third party without the prior written consent of Ronda Vet Locums Ltd, except as required by law.
15.3 The obligations of confidentiality shall survive the termination of these Terms and the use of the Platform.
15.4 Confidential Information includes the personal or professional details of Locums obtained through the Platform, which may not be shared with any third party or Group Company for the purposes of off-platform engagement.

17. ACKNOWLEDGEMENT
17.1 BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
18. DATA PROTECTION AND PRIVACY
18.1 Ronda Vet Locums Ltd will collect and process personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference.
18.2 Practices agree to comply with all applicable data protection laws and regulations, including the UK Data Protection Act 2018 and General Data Protection Regulation (GDPR), in relation to any personal data they receive or process in connection with their use of the Platform. This includes implementing appropriate technical and organisational measures to protect personal data, ensuring data accuracy and integrity, and respecting individuals’ rights concerning their data.
18.3 The Practice acknowledges that Ronda Vet Locums Ltd may monitor, record, review, and analyse messages, communications, and other interactions conducted through the Platform’s messaging and communications tools. Such monitoring is carried out for the following purposes:
a) Verifying compliance with these Terms, including the non-circumvention obligations set out in clause 4.2(h);
b) Ensuring the safety, wellbeing, and professional conduct of all Platform users;
c) Resolving disputes between Practices and Locums;
d) Improving Platform performance, quality of service, and user experience; and
e) Meeting any applicable legal or regulatory obligations.
18.4 Communications data will be processed in accordance with Ronda Vet Locums Ltd’s Privacy Policy and retained only for as long as is necessary for the purposes set out in clause 18.3 or as required by law. The Practice should not use the Platform’s communications tools to share sensitive personal data beyond what is strictly necessary for the purposes of arranging and conducting engagements.
18.5 By using the Platform’s communications tools, users are informed of and consent to such monitoring. Practices should make Locums and any staff members who access the Platform aware of this monitoring policy.
19. FORCE MAJEURE
19.1 Ronda Vet Locums Ltd shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss, or malfunctions of utilities, communications or computer (software and hardware) services.
20. GOVERNING LAW AND JURISDICTION
20.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
20.2 Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause. The seat of the arbitration shall be London, England. The language of the arbitration shall be English.
